By accessing or using Stack Console, you agree to comply with and be bound by these Terms. If you do not agree, you must not access or use our Services.

1. Definitions

“User,” “You,” or “Your” refers to any person or entity accessing or using the Services.
“Customer” refers to any organization or individual that has entered into a subscription or license agreement with Stack Console.
“Platform” refers to the Stack Console cloud management platform and its related features.

2. Acceptance of Terms

By using Stack Console, you:

Acknowledge that you have read, understood, and agreed to these Terms.
Represent that you are of legal age and authorized to bind the entity you represent.
Agree to comply with all applicable laws and regulations.

If you are using Stack Console on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Services

Stack Console provides a cloud management and automation platform designed for:

Data Centers
Cloud & Hosting Providers
Managed Service Providers (MSPs)
Telcos & ISPs

The platform enables users to manage infrastructure, billing, automation, and integrations with multiple orchestrators such as Apache CloudStack, OpenStack, Virtuozzo, OpenNebula, and VMware.

4. Account Registration

To access certain features of the Platform:

You may be required to register for an account.
You must provide accurate and complete information.
You are responsible for maintaining the confidentiality of your login credentials.
You agree to notify us immediately of any unauthorized access or security breach.

We are not liable for any loss or damage arising from your failure to protect your account credentials.

5. License and Restrictions

5.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use our Platform and Services in accordance with these Terms and any applicable subscription agreement.

5.2 Restrictions

You agree not to:

Copy, modify, or distribute any part of the Platform without our written consent.
Reverse engineer, decompile, or attempt to derive source code.
Use the Platform for unlawful, fraudulent, or malicious activities.
Use our Services to transmit viruses, malware, or harmful code.
Attempt unauthorized access to any systems or networks.

Violation of these restrictions may result in immediate termination of access.

6. Payment and Billing

Access to Stack Console’s full functionality may require a paid subscription or license.
You agree to:

Pay all applicable fees as per your chosen plan or contract.
Provide accurate billing information.
Acknowledge that fees are non-refundable unless otherwise specified.

We reserve the right to modify pricing, billing methods, or subscription terms, with prior notice as required by law.

7. Intellectual Property Rights

All intellectual property, including software, graphics, trademarks, content, and documentation, remains the exclusive property of Stack Console or its licensors.
No part of the Platform may be reproduced, resold, or redistributed without prior written permission.

You retain ownership of data you upload to the Platform. However, by using the Platform, you grant us a non-exclusive license to process and use that data solely to provide and improve our Services.

8. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information shared during the course of business.
Confidential information may only be disclosed:

To employees or agents who need access for legitimate business purposes, or
When required by law or court order.

9. Third-Party Integrations

Stack Console integrates with multiple third-party platforms such as Apache CloudStack, OpenStack, Virtuozzo, OpenNebula, VMware, and others.
Use of third-party software or services is subject to their own terms and conditions.
We are not responsible for the performance, security, or availability of such third-party services.

10. Disclaimer of Warranties

Our Platform and Services are provided on an “as is” and “as available” basis.
We do not warrant that:

The Services will be error-free, uninterrupted, or secure, or
Any defects will be corrected.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law:

Stack Console shall not be liable for any indirect, incidental, special, or consequential damages.
Our total liability for any claim arising from or related to your use of the Platform shall not exceed the amount paid by you in the last 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Stack Console, its officers, directors, employees, and affiliates from any claims, losses, damages, or expenses (including legal fees) arising from:

Your violation of these Terms,
Misuse of the Platform, or
Infringement of any third-party rights.

13. Suspension and Termination

We reserve the right to:

Suspend or terminate your access to the Platform if you breach these Terms or misuse the Services.
Remove any content that violates our policies or applicable law.

Termination does not relieve you of any outstanding payment obligations.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed under the laws of Singapore, without regard to its conflict of law principles.
Any disputes shall be subject to the exclusive jurisdiction of the courts in Singapore.

15. Changes to These Terms

We may update these Terms periodically to reflect changes in our business or legal requirements.
The updated version will be posted on this page with a new effective date.
Continued use of the Platform after changes constitutes acceptance of the revised Terms.
